Welcome to Vista Visuals (“Vista Visuals,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website (vistavisuals.in), our client dashboard, and any services you purchase from us, including but not limited to WordPress website design and development, UI/UX design, cloud hosting, and domain services (collectively, the “Services”).

By accessing our website, submitting a contact form, making a payment, or otherwise engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Our Services

Vista Visuals specializes in:

• Custom WordPress website design and development, built with a focus on UI/UX quality
• Website hosting on our managed cloud infrastructure
• Domain registration and management
• Ongoing website maintenance during the contract period

Every project we deliver includes, as part of our standard package:

• A 14-day money-back guarantee, starting from the date your project is marked complete and delivered
• Three (3) years of free cloud hosting and domain, bundled with the project cost at no additional charge during that period

We are among the first Indian web development companies to offer this combined guarantee and hosting structure, and we stand behind it as described in this document and our Refund Policy.

3. Project Process & Client Responsibilities

• Projects begin once a client submits a project inquiry via our contact form or directly through email/WhatsApp, and both parties agree on scope, timeline, and cost.
• Clients are required to provide timely feedback, content, brand assets, and approvals at each stage. Delays caused by the client (late content, late approvals, unresponsiveness) may extend the project timeline correspondingly and do not obligate Vista Visuals to compress delivery schedules.
• Vista Visuals reserves the right to pause work on a project if a client is unresponsive for more than 14 consecutive days after a request for input, feedback, or payment. Work will resume once the client responds.

4. Pricing & Payment Terms

• Advance payment: All projects require a minimum 25% advance payment before work begins. The remaining balance is due as per the agreed payment schedule communicated at the time of quotation.
• Accepted payment methods: Bank Transfer, UPI, and Cryptocurrency.
• Domestic transactions (India): processed via Union Bank of India.
• International transactions: processed via JP Morgan.
• Currencies supported: INR and USD currently, with local payment collection available in each. EUR, AUD, CAD, and GBP support is coming soon. For clients in other currencies, we can accept payment via SWIFT code and account number, allowing us to support virtually any currency through international wire transfer.
• All prices quoted are exclusive of any bank, payment gateway, or currency conversion charges unless explicitly stated otherwise. Such charges, if any, are borne by the client.
• Non-payment of the balance amount within the agreed timeline may result in suspension of project work and/or delayed delivery. The 14-day refund window (see Refund Policy) is calculated from project completion regardless of payment delays, so clients are encouraged to complete payments promptly to make full use of the guarantee period.

5. Hosting, Domain & Renewal

• The 3-year free hosting and domain bundle begins from the date of project delivery/launch.
• During this period, Vista Visuals manages hosting, domain renewal, and basic website maintenance at no extra cost.
• Upon expiry of the 3-year term, clients must renew for a further term to continue receiving hosting, domain, and maintenance services. Renewal pricing will be communicated in advance of expiry.
• If a client chooses not to renew and wishes to migrate their website to another host/provider, Vista Visuals will facilitate migration and file handoff for a one-time migration and file-handling charge of USD $99 (or INR equivalent). Website files and content remain the property of the client, subject to this migration fee for the labor involved in transfer.
• Failure to renew and decline migration within a reasonable notice period may result in the website and associated hosting/domain being taken offline at the end of the contract term.

6. Refunds

Our refund terms are governed by our separate Refund Policy, which forms part of these Terms. In summary: we offer a 14-day money-back guarantee starting from project completion. Please refer to the Refund Policy for full details, exclusions, and the process to request a refund.

7. Intellectual Property

• Upon full payment, ownership of the final website design, code customizations, and content created specifically for the client transfers to the client.
• Vista Visuals retains the right to showcase completed projects in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing.
• Any third-party assets used in the project (premium plugins, themes, stock images, fonts) remain subject to their respective third-party licenses, which the client is responsible for maintaining/renewing after project handover where applicable.

8. Client Dashboard & Account Access

• Clients are provided access to a client dashboard where they can view invoices, order history, and available payment methods.
• Access to the dashboard may be provided via Google Sign-In. See our Privacy Policy for details on what data this involves.
• Clients are responsible for maintaining the confidentiality of their dashboard access and for all activity that occurs under their account.

9. Limitation of Liability

• Vista Visuals will make reasonable efforts to ensure uptime, security, and performance of hosted websites, but does not guarantee 100% uptime or that services will be uninterrupted or error-free.
• Vista Visuals is not liable for any indirect, incidental, or consequential damages arising from use of our Services, including but not limited to loss of business, revenue, or data, except where such liability cannot be excluded under applicable Indian law.
• Our total liability for any claim arising from our Services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

10. Termination

• Either party may terminate an ongoing project agreement in writing. Amounts already paid for work completed up to the termination date are non-refundable, except as covered under the 14-day money-back guarantee.
• Vista Visuals reserves the right to refuse service or terminate an agreement in cases of abusive conduct, fraudulent payment, or requests to build unlawful, infringing, or harmful content/websites.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Baleshwar, Odisha, India, regardless of the client’s location.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, pricing structure, or legal requirements. The “Last Updated” date at the top of this page will reflect the most recent revision. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
